Terms of Service
The agreement between a school and Vidyum. Written to be read once and understood, not to be survived.
1. Who this is between
These terms are between [registered entity name] (“Vidyum”, “we”) and the school or institution that has been given a Vidyum account (“the school”, “you”). The individuals the school gives logins to — administrators, teachers, accountants, librarians, students and parents — use the service under the school’s account and under these terms.
2. What the service is
Vidyum is web-based school-management software covering admissions, fees, attendance, timetables, examinations and results, library, and communication with parents. The specific modules enabled for a school, and the price, are those set out in the quotation or order form agreed with that school — pricing is quoted per school rather than published as fixed plans.
3. Accounts and users
The school decides who gets an account and what role each person holds, and is responsible for keeping that list current — in particular for removing accounts when staff leave. Each person is responsible for keeping their own credentials confidential and must not share a login.
Tell us promptly at hello@vidyum.in if you believe an account has been compromised.
4. Acceptable use
You agree not to:
- upload data you have no right to hold, or use the service in breach of any applicable law;
- attempt to access another school’s data, or probe, scan or test the security of the service other than with our written permission;
- resell, sublicense or provide the service to a third party as if it were your own; or
- use the service in a way that degrades it for other schools.
5. Your data stays yours
All student, staff, academic and financial records the school puts into Vidyum remain the school’s property. We claim no ownership over them and use them only to provide the service, as described in the Privacy Policy. The school can export its data at any time during the term.
6. Fees
Subscription fees, the billing period and any one-off onboarding charges are those stated in the school’s quotation. Fees are payable in advance for each period unless agreed otherwise. Prolonged non-payment may lead to suspension, but we will raise it with the school before anything is suspended — never mid-term without warning.
Fees a school collects from parents through Vidyum are a separate matter: that money is the school’s, is settled to the school’s own payment account by the payment processor, and does not pass through us.
7. Availability and support
We aim to keep the service available at all times and to schedule maintenance outside school hours where we can. We do not promise uninterrupted availability. Support channels and response expectations are agreed with each school during onboarding rather than set out in a plan comparison.
8. Liability
Nothing in these terms limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot be limited by law. Subject to that, neither party is liable for indirect or consequential loss, and our total liability in any twelve-month period is limited to the fees paid by the school for that period.
Vidyum is a record-keeping tool. It does not replace the school’s own responsibility for the accuracy of what is recorded in it — including statutory returns, board submissions and examination results.
9. Ending the agreement
Either party may end the agreement at the end of a billing period by giving reasonable written notice. Either party may end it immediately if the other commits a material breach and does not put it right within 30 days of being asked to.
On termination the school may export its data, and we will delete our copies as described in the Privacy Policy. We will not hold a school’s data hostage over a commercial dispute.
10. Changes to these terms
We may update these terms. Where a change materially affects a school’s rights we will give notice before it takes effect, and the school may end the agreement if it does not accept the change.
11. Governing law
These terms are governed by the laws of India, and the courts at [city, state] have exclusive jurisdiction over any dispute arising from them.
12. Notices
Formal notices to us go to hello@vidyum.in, copied to [registered entity name], [registered address]. Notices to a school go to the email address on its account.
